WiseCost Terms of Service
1. Acceptance of Terms
By accessing or using WiseCost (“the Service”), you agree to be bound by these Terms. If you are using the Service on behalf of a company, you represent that you have authority to bind that company.
2. Description of Service
WiseCost is a software platform that provides job costing, timekeeping, and labor distribution tools designed to assist U.S. government contractors in maintaining records consistent with DCAA guidelines. The Service integrates with QuickBooks Online and generates journal entries, timesheet records, and cost allocation reports.
3. No Compliance Guarantee
WiseCost is a software tool, not a compliance service. Use of WiseCost does not guarantee that your accounting system, timekeeping practices, or audit outcomes will satisfy DCAA, DOD, or any other federal agency requirements. Compliance depends on how your organization configures, uses, and maintains the Service, as well as factors entirely outside WiseCost's control. WiseCost expressly disclaims any liability for audit findings, contract disallowances, penalties, or losses resulting from a failed preaward survey, DCAA audit, or any other government review.
4. User Responsibilities
You are solely responsible for: (a) the accuracy of data entered into the Service; (b) ensuring your use of the Service aligns with your contractual and regulatory obligations; (c) reviewing and approving all journal entries, timesheets, and reports before reliance; (d) maintaining appropriate internal controls independent of the Service.
5. QuickBooks Online Integration
The Service connects to your QuickBooks Online account via OAuth 2.0. You authorize WiseCost to read and write data to your QBO account on your behalf. WiseCost is not affiliated with Intuit Inc. You remain solely responsible for your QBO account and the accuracy of data posted to it.
6. Payment and Billing
Subscription fees are billed monthly. No annual contract is required. You may cancel at any time; cancellation takes effect at the end of the current billing period. No refunds are issued for partial months. WiseCost reserves the right to modify pricing with 30 days' notice.
7. Limitation of Liability
To the maximum extent permitted by law, WiseCost and its founders, officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, lost contracts, audit penalties, or data loss, even if advised of the possibility of such damages. WiseCost's total liability for any claim shall not exceed the amount paid by you in the three months preceding the claim.
8. Intellectual Property
The Service and all its components are the exclusive property of WiseCost, Inc. You may not copy, modify, reverse engineer, or resell any part of the Service.
9. Termination
WiseCost may suspend or terminate your account for violation of these Terms or non-payment. You may terminate at any time by canceling your subscription.
10. Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.
11. Changes to Terms
WiseCost may update these Terms at any time. Continued use of the Service after changes constitutes acceptance.
